1 Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and YOHOTT PRIVATE LIMITED ("YoHott", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with its registered office at 10, Kings Villa, Kalali-Talasat Road, Kalali, Vadodara – 390012, Gujarat, India (CIN: U62011GJ2026PTC176170).

YoHott operates an AI-powered personal concierge service accessible via telephone calls and WhatsApp ("Service"). By subscribing to, accessing, or using the Service in any manner, you agree to be bound by these Terms, our Privacy Policy (available at yohott.com/privacy), and any additional guidelines or rules referenced herein.

If you do not agree to these Terms, please do not use the Service. We reserve the right to refuse service to anyone at our sole discretion.

4 Description of Service

4.1 What YoHott Does

YoHott is a personal concierge that works over voice calls and WhatsApp. When you call or message us with a request, we:

We may expand or modify the categories covered by the Service from time to time. Any material changes will be communicated to you in advance.

4.3 What YoHott Does NOT Do

To avoid any confusion, YoHott:

5 Account Registration

5.1 Creating an Account

Your Account is created when the Payer subscribes to the Service and provides the User's WhatsApp-enabled phone number. One phone number corresponds to one Account. You are responsible for maintaining the confidentiality and security of your Account.

5.2 Account Information

You agree to provide accurate and complete information during registration, including but not limited to: name, phone number, delivery address(es), and payment preferences. You agree to promptly update this information if it changes. YoHott is not liable for any issues arising from inaccurate or outdated information provided by you.

5.3 Account Security

You are responsible for all activity that occurs under your Account. If you suspect any unauthorised use of your Account, please contact us immediately at dsn@yohott.com. YoHott will not be liable for any loss or damage arising from your failure to protect your Account credentials.

6 Subscription and Fees

6.1 Subscription Plan

6.2 Payment of Subscription Fee

The Subscription Fee is payable in advance at the start of each billing cycle. Payment may be made via UPI, bank transfer, or such other methods as we may make available. Failure to pay the Subscription Fee within 7 days of the due date may result in suspension of the Service until payment is received.

6.3 Order Payments

The cost of goods and services ordered through YoHott is separate from the Subscription Fee. Order payments are processed at the time of order placement through the relevant Platform. You may pay via:

YoHott does not store your complete card details. Where you share credit or debit card information for offer optimisation, it is handled in accordance with our Privacy Policy and processed through PCI-DSS compliant payment processors.

6.4 Taxes

All fees quoted are inclusive of Goods and Services Tax (GST) unless expressly stated otherwise. Where applicable, GST will be charged at the prevailing rate and reflected in your invoice.

7 Savings Guarantee and Price Match Promise

7.1 Savings Guarantee

YoHott guarantees that you will save at least Rs 500 per month through our price comparison, credit card offer matching, and cashback optimisation. If your total verified savings in any calendar month are less than Rs 500, your next month's Subscription Fee will be waived entirely ("Free Month").

7.2 Price Match Promise

If you find the same item cheaper on any online platform within 24 hours of your order being placed through YoHott, we will refund the price difference to your original payment method, and credit an additional 10% of the price difference as YoHott Credits to your Account.

8 YoHott's Role as Intermediary

YoHott acts solely as an intermediary between you and the Platforms. When YoHott places an order on your behalf:

While we strive to ensure accuracy, YoHott shall not be liable for any errors, delays, or failures on the part of the Platforms, including but not limited to incorrect items, late deliveries, food quality issues, or Platform downtime.

9 User Obligations and Acceptable Use

By using the Service, you agree that you will:

We reserve the right to suspend or terminate your Account without notice if we reasonably believe you have violated any of these obligations.

11 Cancellation, Refunds, and Disputes

11.1 Subscription Cancellation

You may cancel your subscription at any time by contacting us via WhatsApp or phone call. Upon cancellation:

11.2 Order Cancellations

Order cancellations are subject to the policies of the relevant Platform. YoHott will assist you in requesting a cancellation, but cannot guarantee that the Platform will accept it. Cancellation fees imposed by the Platform, if any, will be borne by you.

11.3 Refunds for Order Issues

If you experience an issue with an order (wrong item, missing item, poor quality, non-delivery), please notify us via WhatsApp within 2 hours of delivery (or expected delivery time for non-delivered orders). YoHott will:

YoHott itself does not issue refunds for goods or services supplied by Platforms, as YoHott is not the seller. However, if an error is attributable solely to YoHott (e.g. we placed the order at the wrong restaurant or wrong address due to a system error), we will refund the order cost at our expense.

11.4 Dispute Resolution

If you have a dispute regarding the Service, please contact our Grievance Officer (see Section 17). We will acknowledge your complaint within 48 hours and endeavour to resolve it within 30 days. If you are not satisfied with the resolution, you may pursue remedies available under applicable Indian law, including approaching the appropriate Consumer Disputes Redressal Commission.

12 Intellectual Property

All intellectual property rights in the Service, including but not limited to the YoHott brand name, logo (when finalised), AI models, algorithms, voice personas, software, and content, are owned by or licensed to YOHOTT PRIVATE LIMITED. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code of any software underlying the Service.

13 AI-Powered Service and Voice Recordings

You acknowledge and agree that:

14 Limitation of Liability

14.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, YoHott disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14.2 Limitation

To the maximum extent permitted by applicable Indian law, YoHott's total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the total Subscription Fees paid by you in the 3 months immediately preceding the event giving rise to the claim.

14.3 Exclusions

YoHott shall not be liable for:

You agree to indemnify, defend, and hold harmless YoHott, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

16.1 Termination by You

You may terminate your Account at any time by contacting us via WhatsApp or phone call. Termination takes effect at the end of the current paid billing cycle.

16.2 Termination by YoHott

We may suspend or terminate your Account immediately, without prior notice, if:

Upon termination: your right to use the Service ceases immediately (or at the end of the billing cycle, as applicable); any outstanding Subscription Fees remain payable; unused YoHott Credits expire and have no cash value; we will retain your data in accordance with our Privacy Policy and applicable law.

In accordance with applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, we have appointed the following Grievance Officer:

All complaints and grievances will be acknowledged within 48 hours and resolved within 30 days of receipt.

18 Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Vadodara, Gujarat, India.

Nothing in these Terms shall limit your rights as a consumer under the Consumer Protection Act, 2019 or any other applicable consumer protection legislation.

19 Amendments to These Terms

YoHott reserves the right to modify these Terms at any time. When we make material changes, we will:

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree with any changes, you may cancel your subscription in accordance with Section 11.1.
