1 Introduction and Acceptance
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and YOHOTT PRIVATE LIMITED ("YoHott", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with its registered office at 10, Kings Villa, Kalali-Talasat Road, Kalali, Vadodara – 390012, Gujarat, India (CIN: U62011GJ2026PTC176170).
YoHott operates an AI-powered personal concierge service accessible via telephone calls and WhatsApp ("Service"). By subscribing to, accessing, or using the Service in any manner, you agree to be bound by these Terms, our Privacy Policy (available at yohott.com/privacy), and any additional guidelines or rules referenced herein.
If you do not agree to these Terms, please do not use the Service. We reserve the right to refuse service to anyone at our sole discretion.
2 Definitions
- "User" means the individual who interacts with YoHott by making telephone calls or sending WhatsApp messages to place orders or use the Service.
- "Payer" means the individual who subscribes to the Service, creates the account, and bears the financial responsibility for the subscription fee and orders placed through the Service. The Payer and User may be the same person, or different persons (for example, an NRI family member paying for a parent in India).
- "Account" means the subscription account created upon registration with YoHott, identified by the User's WhatsApp-enabled phone number.
- "Platform(s)" means the third-party service providers from which YoHott places orders on your behalf, including but not limited to Swiggy, Zomato, Blinkit, Zepto, BigBasket, and BookMyShow.
- "Order" means any request made by the User for YoHott to search, compare, and/or place a purchase on a Platform.
- "Subscription Fee" means the monthly fee payable for access to the Service, as set out in Section 6.
- "YoHott Credits" means non-transferable credits issued by YoHott under the Price Match Promise, redeemable only against future subscription fees or order-related costs within the Service.
3 Eligibility
To use the Service, you must:
- Be at least 18 years of age, or have verifiable consent from a parent or legal guardian if you are a minor (under 18).
- Have access to a working telephone and a WhatsApp-enabled phone number.
- Provide accurate, complete, and current information during registration and at all times during your use of the Service.
- Not have been previously suspended or removed from the Service by us.
Where the Payer is subscribing on behalf of a User (e.g. a family member in India), the Payer represents and warrants that they have the authority and consent of the User to create the account and share the User's personal information with YoHott.
4 Description of Service
4.1 What YoHott Does
YoHott is a personal concierge that works over voice calls and WhatsApp. When you call or message us with a request, we:
- Understand your order through our AI-powered voice and chat system.
- Search and compare prices across multiple Platforms for the requested item or service.
- Identify the best available credit card offers, cashback deals, and promotional pricing applicable to your payment method.
- Place the order on the Platform offering the best value, on your behalf.
- Send you a confirmation via WhatsApp with order details, pricing breakdown, and estimated delivery time.
- Track the order and notify you of status updates.
4.2 Service Categories (Phase 1)
The Service currently covers the following categories:

We may expand or modify the categories covered by the Service from time to time. Any material changes will be communicated to you in advance.
4.3 What YoHott Does NOT Do
To avoid any confusion, YoHott:
- Is not a mobile application. The Service operates exclusively via telephone calls and WhatsApp.
- Is not the seller of any goods or services. YoHott acts as your intermediary and places orders on your behalf on third-party Platforms. The contract for the supply of goods or services is between you and the relevant Platform.
- Is not a payment aggregator or fintech product. We do not hold, pool, or manage your funds.
- Does not handle complex e-commerce (laptops, mobile phones, large appliances, or items requiring detailed configuration).
- Does not provide services to businesses. This is a consumer-only product.
- Does not provide medical advice. Medicine orders are fulfilled based on your request and subject to Platform and regulatory requirements.
5 Account Registration
5.1 Creating an Account
Your Account is created when the Payer subscribes to the Service and provides the User's WhatsApp-enabled phone number. One phone number corresponds to one Account. You are responsible for maintaining the confidentiality and security of your Account.
5.2 Account Information
You agree to provide accurate and complete information during registration, including but not limited to: name, phone number, delivery address(es), and payment preferences. You agree to promptly update this information if it changes. YoHott is not liable for any issues arising from inaccurate or outdated information provided by you.
5.3 Account Security
You are responsible for all activity that occurs under your Account. If you suspect any unauthorised use of your Account, please contact us immediately at dsn@yohott.com. YoHott will not be liable for any loss or damage arising from your failure to protect your Account credentials.
6 Subscription and Fees
6.1 Subscription Plan

6.2 Payment of Subscription Fee
The Subscription Fee is payable in advance at the start of each billing cycle. Payment may be made via UPI, bank transfer, or such other methods as we may make available. Failure to pay the Subscription Fee within 7 days of the due date may result in suspension of the Service until payment is received.
6.3 Order Payments
The cost of goods and services ordered through YoHott is separate from the Subscription Fee. Order payments are processed at the time of order placement through the relevant Platform. You may pay via:
- Payment through YoHott (UPI or payment link provided via WhatsApp)
- Cash on Delivery (COD), where available on the Platform
YoHott does not store your complete card details. Where you share credit or debit card information for offer optimisation, it is handled in accordance with our Privacy Policy and processed through PCI-DSS compliant payment processors.
6.4 Taxes
All fees quoted are inclusive of Goods and Services Tax (GST) unless expressly stated otherwise. Where applicable, GST will be charged at the prevailing rate and reflected in your invoice.
7 Savings Guarantee and Price Match Promise
7.1 Savings Guarantee
YoHott guarantees that you will save at least Rs 500 per month through our price comparison, credit card offer matching, and cashback optimisation. If your total verified savings in any calendar month are less than Rs 500, your next month's Subscription Fee will be waived entirely ("Free Month").
Conditions:
- Savings are calculated as the difference between the price you would have paid on a single Platform without optimisation and the price you actually paid through YoHott, aggregated across all orders in the month.
- You must have placed at least 5 orders through YoHott during the month for the guarantee to apply.
- Savings from cancelled, refunded, or disputed orders are excluded from the calculation.
- The Free Month is applied as a credit against the next billing cycle and is not redeemable for cash.
7.2 Price Match Promise
If you find the same item cheaper on any online platform within 24 hours of your order being placed through YoHott, we will refund the price difference to your original payment method, and credit an additional 10% of the price difference as YoHott Credits to your Account.
Conditions:
- The item must be identical (same brand, size, quantity, and variant) and available for delivery to the same address.
- The cheaper price must be the final price inclusive of delivery charges, platform fees, and taxes, and must not rely on a platform-specific membership, first-time-user discount, or referral code.
- You must submit the claim via WhatsApp within 24 hours of order placement, with a screenshot or link showing the lower price.
- YoHott Credits are non-transferable, have no cash value, and expire 6 months from the date of issuance.
- YoHott reserves the right to verify the claim before processing the refund and credits.
8 YoHott's Role as Intermediary
YoHott acts solely as an intermediary between you and the Platforms. When YoHott places an order on your behalf:
- The contract for the sale and supply of goods or services is formed directly between you and the relevant Platform.
- The Platform's own terms of service, refund policies, cancellation policies, and delivery commitments apply to the order.
- YoHott is not the manufacturer, seller, or supplier of any goods or services ordered through the Service.
- YoHott does not guarantee the quality, safety, legality, or availability of any goods or services offered by the Platforms.
While we strive to ensure accuracy, YoHott shall not be liable for any errors, delays, or failures on the part of the Platforms, including but not limited to incorrect items, late deliveries, food quality issues, or Platform downtime.
9 User Obligations and Acceptable Use
By using the Service, you agree that you will:
- Use the Service only for personal, non-commercial purposes.
- Provide truthful and accurate information in all interactions with YoHott.
- Not use the Service to place fraudulent, illegal, or abusive orders.
- Not attempt to reverse-engineer, interfere with, or disrupt the Service or its underlying technology.
- Not use abusive, threatening, or harassing language when interacting with YoHott's voice or chat systems, or with any human support agents.
- Not share your Account access with third parties without our consent.
- Comply with all applicable laws and regulations in your use of the Service.
We reserve the right to suspend or terminate your Account without notice if we reasonably believe you have violated any of these obligations.
10 Payer and User Relationship
Where the Payer and User are different individuals:
- The Payer is responsible for all Subscription Fees and, depending on the chosen payment arrangement, may also bear the cost of individual orders.
- The Payer will receive order confirmation notifications and billing summaries via WhatsApp and/or email. The Payer acknowledges and consents to receiving information about the User's orders.
- The User consents to the Payer having visibility into order history and account activity, and acknowledges this arrangement at the time of first interaction.
- Both the Payer and the User must independently consent to YoHott's Privacy Policy.
- Either the Payer or the User may request cancellation of the subscription. In the event of a dispute between the Payer and User, YoHott will follow the Payer's instructions with respect to account and billing matters.
11 Cancellation, Refunds, and Disputes
11.1 Subscription Cancellation
You may cancel your subscription at any time by contacting us via WhatsApp or phone call. Upon cancellation:
- The Service will remain active until the end of your current paid billing cycle.
- No pro-rata refund will be issued for the remaining days of the current billing cycle.
- Any unused YoHott Credits will expire upon cancellation.
11.2 Order Cancellations
Order cancellations are subject to the policies of the relevant Platform. YoHott will assist you in requesting a cancellation, but cannot guarantee that the Platform will accept it. Cancellation fees imposed by the Platform, if any, will be borne by you.
11.3 Refunds for Order Issues
If you experience an issue with an order (wrong item, missing item, poor quality, non-delivery), please notify us via WhatsApp within 2 hours of delivery (or expected delivery time for non-delivered orders). YoHott will:
- Raise the complaint with the relevant Platform on your behalf.
- Track the resolution and keep you informed via WhatsApp.
- Where the Platform issues a refund, ensure it is credited to your original payment method.
YoHott itself does not issue refunds for goods or services supplied by Platforms, as YoHott is not the seller. However, if an error is attributable solely to YoHott (e.g. we placed the order at the wrong restaurant or wrong address due to a system error), we will refund the order cost at our expense.
11.4 Dispute Resolution
If you have a dispute regarding the Service, please contact our Grievance Officer (see Section 17). We will acknowledge your complaint within 48 hours and endeavour to resolve it within 30 days. If you are not satisfied with the resolution, you may pursue remedies available under applicable Indian law, including approaching the appropriate Consumer Disputes Redressal Commission.
12 Intellectual Property
All intellectual property rights in the Service, including but not limited to the YoHott brand name, logo (when finalised), AI models, algorithms, voice personas, software, and content, are owned by or licensed to YOHOTT PRIVATE LIMITED. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal purposes in accordance with these Terms.
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code of any software underlying the Service.
13 AI-Powered Service and Voice Recordings
You acknowledge and agree that:
- The Service is powered by artificial intelligence, including speech-to-text, text-to-speech, and large language models. While we strive for accuracy, AI systems may occasionally misinterpret requests or make errors.
- All telephone calls to the YoHott number are recorded for the purposes of order processing, quality assurance, dispute resolution, and AI training. You will be informed of this at the start of your first call.
- WhatsApp messages, voice notes, and images shared with YoHott are stored and processed in accordance with our Privacy Policy.
- Anonymised and de-identified data derived from your interactions may be used to improve the Service.
14 Limitation of Liability
14.1 Service Provided "As Is"
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, YoHott disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14.2 Limitation
To the maximum extent permitted by applicable Indian law, YoHott's total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the total Subscription Fees paid by you in the 3 months immediately preceding the event giving rise to the claim.
14.3 Exclusions
YoHott shall not be liable for:
- Any acts, omissions, errors, or defaults of the Platforms, including delivery failures, food quality, product defects, or Platform downtime.
- Losses arising from inaccurate or incomplete information provided by you.
- Indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
- Service interruptions due to force majeure events, including natural disasters, pandemics, government actions, strikes, power failures, or internet outages.
- Errors or inaccuracies in AI-generated responses, including misinterpretation of voice commands or WhatsApp messages.
15 Indemnification
You agree to indemnify, defend, and hold harmless YoHott, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms.
- Your misuse of the Service.
- Your violation of any applicable law or regulation.
- Any dispute between you and a Platform arising from an order placed through the Service.
16 Termination
16.1 Termination by You
You may terminate your Account at any time by contacting us via WhatsApp or phone call. Termination takes effect at the end of the current paid billing cycle.
16.2 Termination by YoHott
We may suspend or terminate your Account immediately, without prior notice, if:
- You breach any material provision of these Terms.
- You engage in fraudulent, illegal, or abusive behaviour.
- Your Subscription Fee remains unpaid for more than 14 days past the due date.
- We are required to do so by law or regulation.
- We decide to discontinue the Service (in which case we will provide at least 30 days' notice).
16.3 Effect of Termination
Upon termination: your right to use the Service ceases immediately (or at the end of the billing cycle, as applicable); any outstanding Subscription Fees remain payable; unused YoHott Credits expire and have no cash value; we will retain your data in accordance with our Privacy Policy and applicable law.
17 Grievance Officer
In accordance with applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, we have appointed the following Grievance Officer:

All complaints and grievances will be acknowledged within 48 hours and resolved within 30 days of receipt.
18 Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Vadodara, Gujarat, India.
Nothing in these Terms shall limit your rights as a consumer under the Consumer Protection Act, 2019 or any other applicable consumer protection legislation.
19 Amendments to These Terms
YoHott reserves the right to modify these Terms at any time. When we make material changes, we will:
- Notify you via WhatsApp message or during your next telephone call.
- Post the updated Terms on yohott.com/terms.
- Indicate the "Last Updated" date at the top of the document.
Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree with any changes, you may cancel your subscription in accordance with Section 11.1.
20 General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any supplementary guidelines, constitute the entire agreement between you and YoHott regarding the Service and supersede all prior agreements, understandings, and representations.
- Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. YoHott may assign its rights and obligations to an affiliate or successor entity without your consent.
- No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and YoHott.
- Force Majeure: YoHott shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, government orders, strikes, power outages, or internet failures.
- Notices: All notices from YoHott to you will be sent via WhatsApp to your registered phone number or via the telephone during a call. All notices from you to YoHott should be directed to dsn@yohott.com or via WhatsApp to our business number.
- Language: These Terms are drafted in English. In the event of any translation, the English version shall prevail.
